Freshfields advises on another five SPAC listing applications in Hong Kong

Freshfields Bruckhaus Deringer (‘Freshfields’) is advising on five further applications to list special purpose acquisition companies (‘SPACs’) on the Hong Kong Stock Exchange (‘HKSE’), after advising on Hong Kong’s first-ever SPAC listing application last month for Aquila Acquisition Corporation. These latest mandates mean that the firm has now advised on six out of the first seven SPAC listing applications that have been made since new rules allowing such listings took effect on 1 January 2022.

In the latest mandates, the firm is advising:

• The joint sponsors in the listing of Interra Acquisition Corporation, a SPAC which will focus on high-growth companies focused on Greater China in the sectors of innovative technology, consumer and new retail, advanced manufacturing, healthcare and climate action as potential de-SPAC targets;

• The sole sponsor in the listing of Tiger Jade Acquisition Company, a SPAC which will focus on companies in healthcare and healthcare-related sectors with operations or prospective operations in the Greater China area as potential de-SPAC targets;

• The joint sponsors in the listing of Trinity Acquisition Holdings Limited, a SPAC which will focus on global consumer lifestyle companies with compelling growth potential in China as potential de-SPAC targets;

• The joint sponsors in the listing of Vision Deal Acquisition Corp., a SPAC which will focus either on companies specialising in smart car technology or those with supply chain and e-commerce capabilities as potential de-SPAC targets; and

• The sole sponsor in the listing of Vivere Lifesciences Acquisition Corp., a SPAC which will focus on companies in the healthcare industry in China or other global opportunities with a significant China angle as potential de-SPAC targets.
