Freshfields advises CompuGroup Medical on the entry of CVC

Global law firm Freshfields has advised CompuGroup Medical SE & Co. KGaA and its majority shareholder GT 1 Vermögensverwaltung GmbH on a strategic partnership agreement with an investment company controlled by asset manager CVC Capital Partners. The agreement includes a voluntary public takeover offer by CVC and the subsequent de-listing of CompuGroup Medical as well as a strategic partnership between the shareholder group around the founding family Gotthardt and CVC.

The private equity firm CVC intends to make an offer to all shareholders of €22.00 per share in cash. The offer is subject to a minimum acceptance threshold of 17% and the usual regulatory closing conditions. The shareholder group around the founding Gotthardt family, which jointly holds 50.1% of all shares, will retain its majority stake in CompuGroup Medical.

CompuGroup Medical was founded in 1987 and is one of the leading IT companies in the healthcare sector. In 2023, the software company generated an annual turnover of €1.19bn. CVC currently manages assets of around €193bn. The partnership with CVC is intended to support CompuGroup Medical's long-term innovation and growth strategy.

Freshfields has already advised CompuGroup Medical in the past, most recently in 2024 on the first-time issuance of promissory note loans, in 2023 on the acquisition of the patient portal provider m.Doc and in 2022 on the acquisition of the software service provider Insight Health.
